Nintendo can't tear it down. All NES patents are expired and there's nothing illegal about creating and releasing an emulator.

 

The question is if Microsoft wants this to happen. They could refuse as a professional courtesy, for instance. Or out of principle since such a program will largely be used to play copyrighted software that was downloaded illegally, despite the presence of homebrews and other legitimate releases that could be enjoyed.
