Controversial, complicated, and a whole hell of a lot of messy then that implies. Suffice it to say that Atari didn't really decline...more like it started imploding and for various reasons the deal was never signed.

If Atari had been in a better financial position in 1984 when the deal was being talked about, yes, I think they would have accepted. Should have? Who knows. Some people believe Atari had no plans to release the Famicom if they got the rights...just stash it and release their own systems to cut down on completion.
